Terms of Use

These Terms govern your purchase, installation, and use of Reel Engine software. Please read them carefully — they protect both you and us.

1. Acceptance of Terms

These Terms of Use ("Terms," "Agreement") constitute a legally binding agreement between you ("Customer," "Licensee," "User," or "you") and Reel Engine ("Company," "we," "our," or "us") governing your access to and use of Reel Engine software, the deployment portal at portal.reelengine.online, and all associated services, documentation, and updates (collectively, the "Service" or "Software").

BY COMPLETING A PURCHASE, DOWNLOADING, INSTALLING, OR OTHERWISE ACCESSING OR USING REEL ENGINE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms in their entirety, you must not purchase, install, or use the Software and must seek a refund in accordance with our Refund Policy within the applicable window.

These Terms apply in addition to, and not instead of, our Privacy Policy and Refund Policy, both of which are incorporated herein by reference and form part of this Agreement.

These Terms may be updated from time to time. When material changes are made, we will notify you by email. Continued use of the Software after the effective date of an update constitutes acceptance of the revised Terms.

2. Eligibility

To purchase and use Reel Engine, you must meet all of the following eligibility requirements:

  • You must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater.
  • You must have the full legal capacity to enter into binding contracts in your jurisdiction.
  • If you are purchasing on behalf of a business or legal entity, you must have the authority to bind that entity to these Terms, and all references to "you" shall include both you individually and that entity jointly.
  • You must not be located in, or a national or resident of, any country against which the applicable laws of your jurisdiction prohibit commercial transactions.
  • You must not have had a prior Reel Engine account or license terminated for violation of these Terms.

By purchasing or using the Software, you represent and warrant that you meet all of the above eligibility requirements. We reserve the right to request verification of eligibility at any time and to refuse service to anyone who does not meet these requirements.

3. License Model

Upon successful payment and verification, Reel Engine grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Reel Engine Software on the number of VPS servers specified in your purchased plan ("License Slots"), subject to these Terms.

3.1 Nature of the License

Your license is a one-time purchase that grants you perpetual rights to use the version of the Software that exists at the time of your purchase, plus all updates released during your support and updates period. "Perpetual" means the license does not expire — you may continue to use the Software indefinitely, even after your support and updates period ends, on the same version.

3.2 What the License Includes

  • The right to install and run the Software on the number of VPS servers matching your license tier.
  • All features included in the Software at the time of purchase.
  • All software updates released during your active support period (first 12 months).
  • Access to the customer portal for license management, installer access, and support submission.
  • The right to use the Software for commercial purposes, including generating revenue from content produced by the Software.
  • The right to use the Software on behalf of clients, provided the total number of concurrent VPS installations does not exceed your license slots.

3.3 What the License Does NOT Include

  • The right to resell, sublicense, rent, lease, or otherwise distribute the Software to any third party.
  • The right to transfer your license to another individual or business entity without our prior written consent.
  • The right to provide Software-as-a-Service access to any third party using your installation, meaning you may not operate a platform that allows external users to log in to and use your Reel Engine installation as if it were their own account.
  • The right to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
  • The right to remove, alter, or obscure any proprietary notices, watermarks, or other identification marks within the Software's source code or administrative interface.
  • Rights to any source code beyond what may be provided to you as part of an open-source component governed by its own license.
  • Guaranteed compatibility with future versions of third-party services (social media APIs, AI providers) that change their platforms unilaterally.

3.4 License Binding

Your license is bound to the email address used at purchase and to the specific VPS installation(s) registered in the portal. A license key may only be active on the number of servers simultaneously permitted by your tier. Attempting to activate the same license key on more servers than your tier permits will be treated as license abuse and may result in suspension.

4. License Tiers

Reel Engine is offered in four license tiers. Each tier grants rights to operate the Software on a specific number of VPS installations simultaneously:

  • Starter (1 VPS): Grants a single production deployment license. Suitable for individual creators operating one instance of the Software.
  • Duo (2 VPS): Grants two concurrent production deployment licenses. Suitable for creators operating across two distinct server environments.
  • Triple (3 VPS): Grants three concurrent production deployment licenses. Suitable for small agencies or multi-project deployments.
  • Team (5 VPS): Grants five concurrent production deployment licenses. Suitable for established agencies managing multiple client environments or independent deployments.

Each VPS slot corresponds to one active installation as registered in the customer portal. You may deactivate an installation and activate a new one on a different server at any time at no additional cost. You may not run more simultaneous installations than your tier permits.

Upgrades between tiers are available at any time. Downgrades may be requested but are subject to our review. Contact support@reelengine.online for tier change requests.

5. Installation & Deployment

5.1 The Automated Installer

Reel Engine provides an automated installation system accessible through the customer portal. To use the installer, you must provide your VPS IP address, SSH credentials, and domain name. By providing these details, you explicitly authorize Reel Engine to establish an SSH connection to your server for the sole purpose of deploying and configuring the Software.

The installer will perform the following actions on your server: install and configure system dependencies (Nginx, PHP, FFmpeg, and related packages), deploy the Reel Engine application files, configure the domain and Nginx virtual host, obtain and configure an SSL certificate via Let's Encrypt, configure cron jobs for automated operation, and activate your license against the server's installation ID.

5.2 VPS Requirements

You are responsible for ensuring that your VPS meets the minimum requirements for proper Software operation. Recommended specifications include: Ubuntu 22.04 LTS operating system, minimum 2 vCPU cores, minimum 4GB RAM, minimum 20GB available disk space, and a publicly accessible IP address. Use of a VPS that does not meet these requirements may result in degraded performance or installation failure, which does not constitute grounds for a refund.

5.3 Your Server is Your Responsibility

Once the Software is installed, the operation, maintenance, security, and availability of your VPS environment is entirely your responsibility. Reel Engine provides software only and does not manage your server infrastructure. You are responsible for: keeping your server operating system and packages updated, maintaining adequate disk space for generated media files, funding your API credentials and ensuring they remain active, monitoring server performance, and implementing appropriate backup strategies.

5.4 Domain & SSL Requirements

The Software requires a domain name pointed to your VPS IP address and a valid SSL certificate for proper functionality, including OAuth authentication with social media platforms. The installer will attempt to obtain a free SSL certificate via Let's Encrypt. If SSL provisioning fails due to domain misconfiguration, you are responsible for resolving the DNS setup. Our support team will assist with troubleshooting but cannot guarantee resolution of issues caused by third-party DNS providers or registrars.

6. Support & Updates

6.1 Included Support Period

Each license purchase includes twelve (12) months of technical support and software updates from the date of purchase. During this period, you are entitled to submit support requests through the customer portal and to receive all software updates we release, at no additional charge.

6.2 Scope of Support

Our support covers issues directly related to the Reel Engine Software itself, including installation failures, bugs or errors in Software functionality, and guidance on Software configuration. Support does not cover issues external to the Software, including but not limited to: VPS configuration and server administration beyond the initial install, third-party API issues or rate limiting from OpenAI, ElevenLabs, or other providers, social media platform policy changes, algorithm changes, or account restrictions, domain or DNS configuration problems caused by your registrar, or general digital marketing advice unrelated to Software operation.

6.3 Support Response Times

We aim to respond to all support requests within two (2) business days. Complex technical issues may require additional time to investigate and resolve. Support is provided in English. We do not guarantee specific resolution times as some issues depend on third-party systems outside our control.

6.4 Annual Infrastructure & Update Subscription

Your license includes twelve (12) months of software updates and full access to the Reel Engine central infrastructure from the date of purchase. This infrastructure encompasses our portal servers, the central OAuth authentication service that enables one-click social media connections (YouTube, Facebook, Instagram, TikTok), and the secure token management system that allows your installation to post content automatically without requiring you to manage API credentials directly.

After the initial twelve-month period, continued access to software updates and the central social media infrastructure is available for a flat annual fee of $29 USD per installation. This fee covers our ongoing commitment to maintain the portal servers, renew platform API credentials, manage OAuth compliance with third-party platforms, and deliver all future software updates to your installation.

If you choose not to renew: Your lifetime license remains fully valid. The Software continues to operate on your VPS indefinitely. Any social media connections already established will continue to function until those platform tokens naturally expire. However, you will not receive new software updates, and new or re-authenticated social media connections may not be established through the central portal infrastructure. Features dependent on active portal connectivity may become unavailable over time as platform tokens expire.

What the annual subscription covers:

  • All software updates released during the subscription period, delivered automatically via the push-update system.
  • Continued access to the central OAuth service for one-click connection of YouTube, Facebook, Instagram, TikTok, and any future platforms we integrate.
  • Portal server uptime and maintenance, including infrastructure hosting, SSL certificates, and security patches.
  • API compliance maintenance — we handle platform policy changes, credential renewals, and API version migrations so you never need to.
  • New feature releases and platform integrations added during the active subscription period.

Renewal can be completed at any time from your account dashboard. The annual fee is subject to change with thirty (30) days' written notice. Existing active subscribers retain their current rate for the duration of the subscription period before any rate change applies.

6.5 Updates and Feature Changes

Software updates may include bug fixes, security patches, performance improvements, new features, or changes to existing features. We reserve the right to add, modify, or remove features in any update. Where a significant feature is removed, we will provide reasonable notice. The addition of new features in future updates does not constitute grounds for a price adjustment or refund for existing licenses.

6.6 Beta Features

Certain features may be released in beta status. Beta features are provided on an experimental, as-is basis and may be unstable, incomplete, or subject to change. Reel Engine does not provide support guarantees for features explicitly marked as beta status. Current social media posting integrations — including YouTube, Facebook, Instagram, and TikTok — are fully released features and are not in beta.

7. Acceptable Use Policy

Reel Engine is licensed for lawful commercial use by the individual or business entity that purchased the license. The following uses are expressly permitted under this Agreement:

  • Generating AI-powered video content for your own channels, profiles, or websites.
  • Generating and publishing video content on behalf of clients as part of a content creation or digital marketing service, provided the total number of active VPS installations stays within your license tier.
  • Building and monetizing social media channels using content produced by the Software.
  • Using the Software in a white-label capacity under your own brand, with your domain and branding.
  • Automating the scheduling and posting of AI-generated content to social media platforms in compliance with those platforms' terms of service.
  • Configuring and operating the Software in autopilot mode for sustained, automated content production.

8. Prohibited Activities

Violation of any prohibited activity may result in immediate license revocation without refund.

The following activities are strictly prohibited and constitute a material breach of this Agreement:

8.1 License Abuse

  • Sharing your license key, installation credentials, or portal access with any third party.
  • Installing the Software on more VPS servers simultaneously than your license tier permits.
  • Purchasing a single license with the intent of using it for multiple independent customers who each need their own deployment.
  • Misrepresenting the number of active installations in your account.
  • Circumventing or attempting to circumvent the license validation system by any technical means.

8.2 Software Tampering

  • Reverse engineering, decompiling, disassembling, or attempting to derive the source code of the Software or its licensing components.
  • Modifying, patching, or tampering with the Software's core licensing validation, update checking, or activation mechanisms.
  • Removing, altering, or obscuring any proprietary notices, copyright statements, or identifying marks in the Software's codebase.
  • Using automated tools or scripts to bypass authentication or access controls within the Software or portal.

8.3 Redistribution & Resale

  • Reselling, sublicensing, or otherwise distributing the Software or any portion thereof to any third party.
  • Operating a platform that provides third-party users with access to your Reel Engine installation as a multi-tenant SaaS product (i.e., creating your own SaaS using Reel Engine as the backend).
  • Including the Software in a product bundle, software package, or agency tool stack that is sold to third parties.
  • Offering the Software as part of any "white label reselling" arrangement without our prior written consent.

8.4 Illegal & Harmful Activities

  • Using the Software to generate, publish, or distribute any content that violates applicable laws, including copyright law, defamation law, consumer protection law, or anti-spam regulations.
  • Generating or distributing content that depicts, glorifies, or incites violence, terrorism, hate speech, or discrimination based on race, religion, gender, sexual orientation, disability, or any other protected characteristic.
  • Creating content designed to defraud, deceive, or mislead consumers, including false advertising, fake testimonials, pump-and-dump schemes, or fraudulent investment promotions.
  • Using the Software to generate spam, bulk unsolicited messages, or coordinated inauthentic behavior campaigns on social media platforms.
  • Generating content that infringes any third-party intellectual property rights, including unauthorized use of copyrighted material, trademarked elements, or protected characters.
  • Using the Software in connection with any activity that violates applicable securities laws, gambling regulations, pharmaceutical advertising laws, or other sector-specific regulations.

8.5 Platform Terms Violations

  • Using the Software in a manner that violates the Terms of Service, Community Guidelines, or Developer Policies of YouTube, Facebook, Instagram, TikTok, or any other social media platform to which you publish content.
  • Using the Software to artificially inflate engagement metrics, purchase views or followers, or engage in any platform manipulation activities.
  • Publishing AI-generated or synthetic/altered content (including AI-generated video, voiceovers, or imagery) on any platform without making the required disclosures mandated by that platform's policies:
    • YouTube: Content that uses realistic AI-generated or altered depictions of real people, events, or places must be labeled using YouTube's altered/synthetic content disclosure tool in the upload settings. Failure to disclose may result in content removal or channel penalties.
    • TikTok: AI-generated content (AIGC) must be labeled using TikTok's built-in AI content label when required by TikTok policy. Content depicting realistic synthetic scenes, AI-generated faces, or AI-generated voices of identifiable individuals must be disclosed.
    • Meta (Facebook/Instagram): Realistic AI-generated content must be labeled using Meta's AI content labeling tools where required. Advertisements generated using AI that contain realistic depictions of people or events must comply with Meta's AI-generated content policy.
  • Publishing content on platforms in geographic regions where your use of AI-generated content is prohibited by law or platform policy without appropriate disclosure.
  • Using our platform's API access to read, scrape, harvest, or store any data from connected social media platforms beyond the minimum necessary to post the content you initiate. The Social Posting Service is a write-only posting service; using it as a data extraction tool is strictly prohibited.

9. Anti-Piracy & License Protection

Reel Engine incorporates technical license protection measures. These measures are lawfully implemented to protect our intellectual property and the commercial viability of the Software. Any attempt to circumvent these measures violates both this Agreement and applicable law.

9.1 License Validation

The Software periodically validates your license against our licensing server. This validation confirms that the license key is genuine, that the number of active installations does not exceed your tier, and that your support period eligibility is current. License validation checks transmit only your license key and installation ID — no personal data, content, or usage metrics are transmitted during this process.

9.2 Strict Prohibition on Reverse Engineering

You are expressly prohibited from reverse engineering, decompiling, disassembling, or otherwise attempting to reconstruct the Software's source code, algorithms, or data structures, except to the extent that applicable law expressly and non-waivably permits such activity despite this restriction. If you believe you have a legally protected right to perform such activities in your jurisdiction, you must notify us in writing before proceeding.

9.3 No Tampering With Licensing Mechanisms

Any modification to the licensing validation components, license key generation logic, or activation/deactivation mechanisms of the Software — whether through code modification, network interception, DNS spoofing, or any other technical method — is strictly prohibited and constitutes a material breach of this Agreement and infringement of our intellectual property.

9.4 Reporting Unauthorized Copies

If you become aware of unauthorized copies, cracked versions, or license key sharing of Reel Engine Software, we encourage you to report it to us at support@reelengine.online. We take piracy seriously as it harms our ability to continue developing and supporting the product that you rely upon.

9.5 Legal Consequences

Unauthorized reproduction, distribution, or use of the Software, or any attempt to defeat or circumvent license protection mechanisms, may result in civil liability and/or criminal prosecution under applicable intellectual property laws, including the Digital Millennium Copyright Act (DMCA) in the United States, the Computer Misuse Act in the United Kingdom, and equivalent laws in other jurisdictions. We reserve the right to pursue all available legal remedies against individuals or entities found to be engaging in software piracy or license abuse.

10. Platform Compliance Disclaimer

Reel Engine is an independent software product and is not affiliated with, endorsed by, sponsored by, or officially connected to any of the following companies or platforms:

  • YouTube (Google LLC)
  • Meta Platforms, Inc. (Facebook and Instagram)
  • TikTok (ByteDance Ltd.)
  • OpenAI, Inc.
  • ElevenLabs
  • Pexels
  • Leonardo AI
  • Contabo, Hetzner, DigitalOcean, or any VPS provider
  • Any other third-party service referenced in our documentation

You are solely and exclusively responsible for ensuring that your use of Reel Engine complies with the Terms of Service, Community Guidelines, and applicable policies of every social media platform and third-party service you connect to or publish on.

10.1 Platform Policy Changes

Social media platforms and AI service providers periodically change their APIs, terms of service, and content policies. Reel Engine cannot guarantee that the Software will remain fully compatible with all third-party services at all times following such changes. We will make commercially reasonable efforts to update the Software in response to significant platform changes, but we make no warranty regarding the timing of such updates and accept no liability for disruptions caused by unilateral third-party platform changes.

10.2 Account Risk

The use of automation tools — including AI-generated content and automated posting — may carry risks on certain social media platforms, including but not limited to reduced reach, account warnings, or account suspension, depending on the platform's policies and the specific manner in which the tools are used. You acknowledge this risk and accept full responsibility for the status and health of your social media accounts. Reel Engine accepts no liability for account restrictions, bans, or suspensions of any kind.

10.3 Copyright Compliance

You are responsible for ensuring that all content generated using the Software — including AI-generated scripts, AI-generated images, AI-generated voiceovers, and stock footage from Pexels or other providers — does not infringe any third-party copyright, trademark, or other intellectual property rights. You must comply with the terms of any AI service or stock media provider you use, including any attribution requirements or restrictions on commercial use.

11. Content Standards

You are solely responsible for all content generated, published, or distributed using the Software. Content must comply with all applicable laws and regulations in your jurisdiction and in the jurisdictions in which your content is viewed.

As a condition of your license, all content you produce and publish using the Software must meet the following standards:

  • Accuracy: You must not knowingly publish materially false or misleading information, particularly on topics of public health, finance, safety, or politics.
  • Legality: All content must be lawful in both your jurisdiction and the jurisdiction in which it is published or likely to be viewed.
  • Respect for Intellectual Property: You must not publish content that reproduces copyrighted material without authorization, impersonates real individuals in a misleading way, or makes false attributions of statements to real people.
  • Advertising Compliance: If you publish content for commercial purposes or to promote products and services, you must comply with applicable advertising disclosure requirements (e.g., FTC guidelines in the USA, ASA standards in the UK, and equivalent local regulations).
  • AI Content Disclosure: You are solely responsible for applying any AI-generated content labels, disclosures, or designations required by each platform you publish on. This includes but is not limited to:
    • YouTube's "altered or synthetic content" disclosure for realistic AI-generated video or audio of real people or events.
    • TikTok's AIGC (AI-Generated Content) label for synthetic media.
    • Meta's AI content labeling requirements for realistic synthetic imagery or video in paid promotions.
    • Any advertising disclosure required by the FTC, ASA, or applicable authority when using AI-generated content to promote products or services.
    Failure to apply required disclosures is your sole responsibility and may result in content removal, account penalties, or legal liability that Reel Engine is not responsible for.
  • Platform Community Standards: Content must comply with the community guidelines and content policies of the platforms on which it is published.
  • No Synthetic Impersonation: You must not use the Software to generate content that realistically depicts, impersonates, or puts words in the mouth of real, identifiable people without their consent, particularly public figures, politicians, or private individuals.

We reserve the right to suspend or terminate your license if we become aware, through legal notice or credible report, that you are using the Software to produce and publish content that is illegal, seriously harmful, or in flagrant violation of these content standards.

12. No Income Guarantee

IMPORTANT DISCLAIMER: Reel Engine makes no guarantees of income, revenue, or business success.

The Software is a tool for producing AI-generated video content and automating social media publishing. Like any tool, its value depends entirely on how it is used, the quality of the content it produces in your context, the consistency of your publishing strategy, the competitiveness of your niche, and countless other factors entirely outside our control.

Reel Engine does NOT guarantee, represent, or warrant any of the following:

  • That you will achieve any specific level of views, followers, subscribers, or engagement on any social media platform.
  • That your content will be monetized or approved for monetization by any platform (e.g., YouTube Partner Program).
  • That you will generate any revenue, profit, or return on your investment from using the Software.
  • That the content produced by the Software will meet any specific quality threshold or perform better than manually produced content in any context.
  • That your social media accounts will grow as a result of using the Software.
  • That AI-generated content will comply with any specific platform's monetization policies now or in the future.
  • That the AI providers integrated with the Software (OpenAI, ElevenLabs, etc.) will maintain service availability, pricing, or output quality.
  • That the Software will produce content suitable for any specific niche, audience, or commercial purpose.

Any financial projections, case studies, testimonials, or examples provided on our marketing website represent individual results achieved by specific users in specific circumstances. These results are not typical and do not constitute a representation that you will achieve similar results. Your results will vary based on your individual efforts, experience, market conditions, and many other factors beyond our control.

By purchasing Reel Engine, you acknowledge that you have not relied on any representation of specific financial returns in making your purchase decision, and that you understand the Software is a tool whose commercial value depends on your own effort and strategy.

13. User Responsibilities

13.1 VPS Procurement & Management

You are responsible for independently procuring and maintaining a suitable VPS that meets the minimum requirements specified in Section 5.2. We recommend but are not affiliated with any VPS provider. VPS costs, uptime, and performance are entirely your responsibility and outside our control.

13.2 API Key Management & Costs

You are responsible for obtaining, funding, and managing all third-party API accounts required for Software operation, including but not limited to OpenAI, ElevenLabs, and Pexels. The cost of API usage is determined entirely by those third-party providers based on their own pricing, and those costs are your sole financial responsibility. Reel Engine has no visibility into or control over your API usage costs.

13.3 Domain & DNS Configuration

You are responsible for purchasing a domain name, configuring its DNS records to point to your VPS, and ensuring the domain remains registered and renewed. Failure to maintain a valid domain may result in loss of SSL coverage and degraded Software functionality, which does not constitute grounds for a refund or support claim against Reel Engine.

13.4 Social Media Account Compliance

You are solely responsible for the social media accounts you connect to the Software. You must own or be legitimately authorized to manage all accounts you connect. You are responsible for complying with each platform's Terms of Service, ensuring you have appropriate permissions to post content on those accounts, and managing any disclosure requirements regarding AI-generated content.

13.5 Account Security

You are responsible for maintaining the security of your customer portal login credentials, your VPS credentials, and any other access credentials related to the Software. You must notify us immediately if you believe your portal account has been compromised. We are not responsible for unauthorized access to your account resulting from your failure to maintain adequate security practices.

14. Intellectual Property

14.1 Our Intellectual Property

The Reel Engine Software, including its source code, design, architecture, documentation, interfaces, and all associated intellectual property, is owned exclusively by Reel Engine and is protected by copyright, trade secret, and other applicable intellectual property laws. Your license grants you the right to use the Software; it does not transfer ownership of any intellectual property to you.

14.2 Your Content

You retain full ownership of all content you generate using the Software. The videos, scripts, voiceovers, and other materials produced through your use of the Software belong to you (subject to the terms of the underlying AI providers and stock media services you use). Reel Engine claims no ownership over content you create.

14.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Software, you grant us a non-exclusive, royalty-free, perpetual, worldwide license to use, incorporate, and commercialize such feedback without any obligation to compensate you or attribute it to you.

14.4 Trademarks

"Reel Engine" and associated logos are trademarks of Reel Engine. You may not use our trademarks in any way that implies endorsement, partnership, or affiliation without our prior written consent. You may reference our product by name in a factual, non-misleading way (e.g., "Built with Reel Engine") with our permission.

15. "As-Is" Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REEL ENGINE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE SOFTWARE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.
  • WARRANTIES THAT THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION, BE ERROR-FREE, OR PRODUCE RESULTS OF ANY SPECIFIC QUALITY.
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT GENERATED BY AI COMPONENTS.
  • WARRANTIES THAT ANY DEFECTS IN THE SOFTWARE WILL BE CORRECTED WITHIN ANY SPECIFIC TIMEFRAME.
  • WARRANTIES REGARDING THE CONTINUED AVAILABILITY OR COMPATIBILITY OF THIRD-PARTY APIS AND SERVICES.

Some jurisdictions do not allow the exclusion of implied warranties. If applicable law in your jurisdiction does not permit the full exclusion of implied warranties, the above exclusions shall apply to the maximum extent permitted by law.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REEL ENGINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF REEL ENGINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These excluded damages include but are not limited to:

  • Loss of profits, revenue, business, or anticipated savings.
  • Loss of data or content stored on your VPS.
  • Costs of substitute services or technology.
  • Social media account restrictions, suspensions, or terminations.
  • Business interruption resulting from Software failure or third-party API outages.
  • Reputational damage arising from content generated by or published using the Software.
  • Claims made against you by third parties related to content you publish.

IN NO EVENT SHALL REEL ENGINE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE EXCEED THE TOTAL AMOUNT PAID BY YOU TO REEL ENGINE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

The limitations of liability set forth in this section shall apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and shall survive the expiration or termination of this Agreement. Some jurisdictions do not allow certain limitations of liability; in such jurisdictions, liability shall be limited to the maximum extent permitted by applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless Reel Engine and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of the Software, including any content you generate and publish.
  • Your violation of any provision of these Terms.
  • Your violation of any applicable law, regulation, or third-party right, including intellectual property rights and platform Terms of Service.
  • Any claim by a third party that content you produced using the Software infringes their intellectual property rights.
  • Your failure to maintain adequate security of your VPS or account credentials.
  • Any unauthorized use of your license key or Software installation.

We reserve the right to assume control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claim.

18. Termination

18.1 Termination for Cause

Reel Engine may, at its sole discretion, immediately suspend or permanently terminate your license without prior notice in the event of any material breach of these Terms, including but not limited to: license sharing or key abuse, reverse engineering or tampering with the Software, use of the Software for illegal activities, or repeated violations of platform Terms of Service that bring reputational harm to Reel Engine.

Termination for cause does not entitle you to any refund, and may result in permanent deactivation of your license key and portal access.

18.2 Voluntary Termination

You may terminate your use of the Software at any time by ceasing use and deleting the Software from your server. If you are within the refund window and eligible for a refund under our Refund Policy, you may request one at that time.

18.3 Effect of Termination

Upon termination of your license for any reason, your right to use the Software immediately ceases. The provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and governing law — shall survive.

18.4 No Termination of Self-Hosted Installation

Because the Software is deployed on your own server, Reel Engine cannot physically remove the Software from your VPS. However, license termination will result in the Software entering a degraded or non-functional state as license validation fails. You are obligated to remove the Software from your server upon license termination.

19. Force Majeure

Reel Engine shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, floods, fires, earthquakes, or extreme weather events.
  • Epidemic, pandemic, or public health emergencies.
  • War, terrorism, civil unrest, governmental actions, or sanctions.
  • Internet backbone outages, DDoS attacks, or other large-scale infrastructure failures.
  • Changes to third-party API availability or terms that prevent the Software from functioning as designed.
  • Actions of social media platforms that disrupt automated posting functionality.
  • Failure of telecommunications or utility services outside our control.

In the event of a force majeure event, we will notify you as soon as reasonably practicable and make commercially reasonable efforts to resume normal service as quickly as possible. Force majeure events do not constitute grounds for a refund beyond what is provided in our Refund Policy.

19a. Social Media Posting Service (Optional Add-On)

Reel Engine offers a central OAuth-based social media posting service ("Social Posting Service") that allows customers to connect their social media accounts through Reel Engine's infrastructure rather than registering their own developer API applications. This section governs your use of the Social Posting Service.

19a.1 Nature of the Service

The Social Posting Service is an optional add-on included with annual maintenance subscriptions. It operates as follows:

  • Reel Engine maintains a registered application with each supported social media platform: YouTube (Google OAuth 2.0), Facebook (Meta OAuth 2.0), Instagram (a Meta platform product with its own standalone OAuth connection, independent of your Facebook connection), and TikTok (fully standalone PKCE OAuth 2.0, independent of Meta).
  • Each platform is integrated independently. Connecting or disconnecting one platform has no effect on any other platform. Instagram can be connected and used independently even if you have not connected Facebook.
  • Customers connect their personal or business social media accounts to these applications via the standard OAuth authorization flow initiated from within the Reel Engine portal.
  • When you initiate a post from your self-hosted Reel Engine installation, the system uses your stored OAuth tokens to publish the content to the connected platform on your behalf.
  • Core video generation remains entirely self-hosted. Reel Engine does not access, store, or process your generated video files at any stage of the posting process. For TikTok and Facebook/Instagram, your installation uploads video files directly to the platform's own servers.

19a.2 Fair Use & Rate Limits

Your use of the Social Posting Service must comply with the API rate limits and terms imposed by each connected platform. You agree not to use the service in a way that:

  • Exceeds the reasonable posting frequency for a single account (generally no more than 24 posts per platform per day per account).
  • Attempts to circumvent platform rate limits, spam content restrictions, or community guidelines.
  • Uses automated or scripted mechanisms to inflate engagement metrics or manipulate platform algorithms.
  • Posts content that is illegal, defamatory, harassing, or that violates the intellectual property rights of any third party.

Reel Engine reserves the right to throttle or suspend access to the Social Posting Service for any customer whose usage patterns risk impacting platform standing for other customers.

19a.3 Platform Terms Compliance

By using the Social Posting Service, you represent and warrant that:

  • You hold valid accounts in good standing on each social media platform you connect, and those accounts are not currently suspended, restricted, or under review by the platform.
  • You have read and agree to comply with the full terms of service and developer policies of each platform, including but not limited to:
  • All content posted through the service complies with applicable platform community guidelines, copyright laws, and advertising standards.
  • You own or have the necessary rights and licenses to all content you post.
  • You will not use the Social Posting Service as a data extraction or scraping mechanism. The service is strictly a content publishing tool. Using the connection to read, harvest, or store any platform user data (other than your own account identifiers necessary for posting) is strictly prohibited.
  • You will not post the same content to the same account at a frequency that violates the platform's spam policies. You are responsible for managing your own posting schedule responsibly.
  • You understand that platforms may change their APIs, policies, or algorithms at any time. Reel Engine does not guarantee that the Social Posting Service will remain compatible with all platforms at all times.

You agree to indemnify and hold harmless Reel Engine from any claims, damages, or penalties arising from your violation of any social media platform's terms, developer policies, or applicable law.

19a.4 Service Availability & Suspension

Reel Engine does not guarantee uninterrupted availability of the Social Posting Service. The service depends on third-party platform APIs that may change, impose new restrictions, or become temporarily unavailable. Reel Engine shall not be liable for any losses arising from platform API changes or downtime.

Reel Engine reserves the right to suspend or terminate a customer's access to the Social Posting Service — without terminating the core license — if:

  • The customer's use violates this section or any platform's terms of service.
  • Continued service to the customer risks Reel Engine's API access or application standing with any platform.
  • The customer's connected account is suspended, banned, or restricted by the platform.

19a.5 Billing & Refunds

The Social Posting Service is included with active annual maintenance subscriptions. The annual maintenance fee covers access to software updates, provisioner support, and the Social Posting Service for the duration of the subscription period. The Social Posting Service is not available as a standalone purchase.

The core software license refund policy (as described in our Refund Policy) applies to the base license purchase. The annual maintenance fee, once paid, covers both software support and the Social Posting Service and is non-refundable once the subscription period has commenced, except where required by applicable consumer protection law.

19a.6 Data Handling

Data handling related to the Social Posting Service, including how OAuth tokens are stored, encrypted, and deleted, is governed by Section 18 of our Privacy Policy, which is incorporated into these Terms by reference.

20. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable commercial law. For consumers located in the European Union, you additionally benefit from the mandatory consumer protection provisions of the law of the country in which you reside, which cannot be waived by contract.

20.1 Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Software, the parties agree to first attempt to resolve the matter through good-faith negotiation by contacting us at support@reelengine.online with a written description of the dispute and the relief sought. We will respond within fifteen (15) business days.

20.2 Consumer Rights

Nothing in these Terms limits any rights you may have under applicable mandatory consumer protection laws in your jurisdiction that cannot be excluded or limited by contract. European Union consumers may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

21. Modifications to Terms & Service

We reserve the right to modify these Terms at any time. For material changes, we will provide notice via email to the address associated with your account at least fourteen (14) days before the changes take effect. Your continued use of the Software after the effective date of any modification constitutes your acceptance of the revised Terms.

We also reserve the right to modify, suspend, or discontinue any aspect of the Software or Service at any time. We will make commercially reasonable efforts to provide advance notice of significant changes. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service, except as may be required by applicable law or our Refund Policy.

We reserve the right to modify our pricing for new purchases, renewal rates, and license tier offerings at any time without notice. Price changes do not affect licenses already purchased under previously published pricing.

22. Entire Agreement & Severability

These Terms, together with our Privacy Policy and Refund Policy (both incorporated herein by reference), constitute the entire agreement between you and Reel Engine with respect to the Software and supersede all prior agreements, understandings, negotiations, and representations, whether oral or written, relating to the same subject matter.

No partnership, joint venture, employment, agency, or franchise relationship is created between you and Reel Engine by these Terms or your use of the Software.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary such that the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless acknowledged and agreed to by us in writing. A waiver of any specific breach does not constitute a waiver of any subsequent breach of the same or any other provision.
